1. Agreement to terms

These Terms & Conditions ("Terms") govern your access to and use of the Barysto website, mobile applications, and related services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Changes

We may modify these Terms or our Services at any time. We will post updated Terms on this page and update the "Last updated" date. Continued use after changes constitutes acceptance of the revised Terms, except where prohibited by law.

3. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

  • Violate applicable laws or third-party rights;
  • Attempt to gain unauthorized access to our systems, other users' accounts, or data;
  • Interfere with or disrupt the Services or networks connected to them;
  • Use automated means (e.g. scraping, bots) in a way that overloads or harms the Services without our consent;
  • Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by law;
  • Misrepresent your identity or affiliation.

5. Intellectual property

The Services, including software, text, graphics, logos, and branding, are owned by Barysto or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business purposes in line with these Terms. No other rights are granted.

6. User content

If you submit content to us (e.g. feedback, reviews, or uploads), you retain ownership of your content. You grant Barysto a worldwide, royalty-free license to use, host, store, reproduce, and display that content as needed to operate and improve the Services. You represent that you have the rights to grant this license and that your content does not violate any law or third-party rights.

7. Third-party services

The Services may link to or integrate third-party websites or services. We are not responsible for third-party content or practices. Your use of third-party services is subject to their terms and policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BARYSTO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US$100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnity

You will defend, indemnify, and hold harmless Barysto and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Barysto operates, without regard to conflict-of-law principles, except where mandatory consumer protections in your country apply. Courts in that jurisdiction will have exclusive venue, unless otherwise required by law.
